1. GENERAL INFORMATION AND DEFINITIONS
1.1 Scope of Application and Seller Identification
These General Conditions of Sale (“Conditions”) govern all sales of products and services purchasable via the website www.maiwatch.itand any associated mobile or digital applications, as valid at the time of the order. These Conditions fully regulate the contractual relationship between the Seller and the Buyer, whether an individual or legal entity. The Seller reserves the right to modify these Conditions at any time by publishing the updated version on the website.
The products sold on www.maiwatch.it are offered directly by Insieme S.r.l., with registered office at Via Sestri no. 154 R, Genoa, Italy, VAT number 0139190997.
1.2 Definitions
For purposes of interpretation and application of these Conditions, the following terms shall have the meanings ascribed to them:
“Online Sales Contract” means the contract concluded remotely by electronic means (“internet”) via www.maiwatch.it, relating to the purchase of goods and/or services, entered into between the Seller (Insieme S.r.l.) and the final Customer or Buyer;
“Seller” means Insieme S.r.l.;
“Customer” means the natural or legal person, consumer or professional, who purchases products and/or services on www.maiwatch.itby accepting these Conditions;
“Consumer” means a natural person acting for purposes outside any business, commercial, artisanal, or professional activity;
“Professional” means a natural or legal person acting in the exercise of entrepreneurial, commercial, artisanal or professional activities, or as an intermediary thereof;
“Product(s)” means the watches and accessories offered for sale on www.maiwatch.it.
 
2. ENTITIES ELIGIBLE TO PURCHASE
Natural persons must have attained the legal age required to enter into contracts (typically eighteen years), possess legal capacity, and provide a valid shipping address within the countries to which deliveries are made to complete a purchase on www.maiwatch.it. Minors, unless otherwise permitted by applicable law, lack the legal capacity to contract and must act through a parent or legal guardian who shall accept these Conditions on their behalf.
 
3. PRE-CONTRACTUAL INFORMATION OBLIGATIONS
3.1 Product Information
The essential characteristics of the goods and services offered, including price and availability, are displayed on www.maiwatch.it accompanied by photographic images. Customers are required to review this information prior to placing an order. Insieme S.r.l. reserves the right to modify or adjust product specifications and characteristics at any time.
3.2 Information About Costs
Prices are indicated in EURO, inclusive of VAT. Prices displayed on the website exclude any customs duties, import taxes, or other charges imposed by the destination country, for which the Customer is solely responsible. Shipping costs, where applicable, are clearly indicated prior to order confirmation and vary based on destination and shipping method. The Seller reserves the right to adjust prices at any time; however, the price applicable will be that in effect at the time the order is confirmed.
3.3 Payment Methods
Payments for products and services may be made via:

All payments are processed securely using SSL/TLS encryption. Credit card data are not stored by the Seller but are processed by authorized payment providers. The Seller reserves the right to request additional documentation to verify the Customer’s identity prior to shipment.
 
4. PURCHASE PROCEDURE AND CONTRACT FORMATION
4.1 Ordering Process
The contract is deemed concluded when the Seller sends order acceptance confirmation by email, which contains the order summary including product details and total price inclusive of all charges, after receipt of payment. Non-payment or failed payment shall result in automatic cancellation of the order.
4.2 Order Verification
The Seller reserves the right to verify the Customer’s identity and payment method validity, cancel orders in case of errors in pricing or product details, or refuse orders suspected of fraud.
4.3 Unavailable Products
Should a purchased product become temporarily unavailable after contract conclusion, the Customer may:
Wait up to 30 days for product restocking;
Receive a voucher redeemable for other goods/services on www.maiwatch.it if the product is permanently unavailable;
Cancel the order and obtain a refund of any amounts paid.
 
5. SHIPPING AND DELIVERY
5.1 Shipping Methods
Shipments are carried out via third-party couriers. Insieme S.r.l. shall not be liable for delays, damages, loss, or theft caused exclusively by the courier.
5.2 Estimated Delivery Times
Delivery times are indicative and start from order confirmation. They may vary depending on product availability and destination. The Seller will inform the Customer promptly in case of delays.
5.3 Delivery Risk
Risk of loss or damage transfers to the Customer upon delivery from Seller to the courier. The Seller is not responsible for courier delays or force majeure events. The Customer must inspect the package upon delivery and report any damage immediately.
5.4 Failed Delivery
In cases of failed or delayed delivery due to Customer’s fault (including but not limited to incorrect address, absence at delivery, refusal of package), additional reshipment costs will be borne by the Customer, regardless of whether delivery charges were originally included.
 
6. RIGHT OF WITHDRAWAL
6.1 Withdrawal Right for Consumers
Consumers may withdraw from the contract within 14 days from receipt of the product without stating any reason and without incurring costs other than return shipping.
6.2 Exercise of Withdrawal
To exercise withdrawal, the Consumer must:
Send written communication within 14 days of receipt to the email address on www.maiwatch.it;
Return the product within 14 days of withdrawal notification.
6.3 Conditions for Withdrawal
Returned products must be in original condition with all accessories, documentation, and packaging, showing no signs of use beyond what is necessary to ascertain the nature, characteristics, and functioning. The Seller reserves the right to verify proper functioning.
6.4 Refunds
Refunds will be issued within 14 days of receipt of the returned product, using the same payment method.
6.5 Exclusions from Withdrawal
Withdrawal rights do not apply to made-to-measure or customized products. Refunds may be denied for worn, tampered, or incomplete returns missing accessories or components (e.g., charging cable, box, strap).
 
7. WARRANTY
7.1 Conformity Warranty
The Seller guarantees products conform to the contract and are free from defects rendering them unsuitable or diminishing value. Consumers benefit from a 24-month legal warranty. Non-conformities must be reported within 2 months of discovery, or warranty is forfeited. Remedies include repair, replacement, price reduction, or contract termination where repair/replacement is impossible or excessive.
Professionals must inspect products on delivery and report defects within 8 days of discovery or forfeit warranty rights. Warranty claims expire 12 months after delivery.
 
8. LIABILITY AND LIMITATIONS
8.1 Limitations of Liability
The Seller is not liable for:
Damage from improper use;
Normal wear and tear;
Unauthorized repairs;
Indirect or consequential losses.
8.2 Force Majeure
The Seller is not liable for failure to perform due to force majeure events including but not limited to natural disasters, strikes, service interruptions, governmental acts, pandemics, wars, or terrorism.
 
9. DISPUTE RESOLUTION
9.1 Applicable Law and Jurisdiction
The sales contract is governed by Italian law. The Court of Genoa has exclusive jurisdiction for disputes regarding contract interpretation, execution, or termination.
If the Customer is a consumer acting outside of any professional activity, jurisdiction lies either with the court of the Customer’s residence or domicile within Italy or, at the Customer’s choice, with the Court of Genoa.
Failure to enforce any provision does not waive future enforcement rights. Invalid provisions do not affect the validity of remaining provisions.
